Terms of Use

1. Acceptance of Terms

By downloading, installing, or using GrowBotiq Lab ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legal agreement between you and GrowBotiq ("we," "our," or "us"), located at 1 Bay St, Toronto, ON M5J 0B6, Canada.

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the updated Terms. We will notify you of material changes through the App or by updating the "Last Updated" date above.

2. Description of the App

GrowBotiq Lab is a mobile application for cannabis cultivation monitoring. It provides on-device trichome detection, plant tracking, environment and climate logging, and grow management tools.

Subscribers to GrowBotiq Pro additionally receive unlimited grow environments, unlimited history retention, grow-to-grow comparison, PDF reports, cloud backup and multi-device sync, and access to GrowBotiq Teams when it becomes available.

3. Eligibility and Lawful Use

You must be at least 17 years of age to use GrowBotiq Lab. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Cannabis cultivation is regulated differently in every jurisdiction and is unlawful in many. You are solely responsible for ensuring that your cultivation, and your use of the App, comply with all laws applicable to you. The App is a record-keeping and measurement tool; providing it does not constitute encouragement, endorsement or facilitation of any activity that is unlawful where you are.

4. User Account

Some features — cloud backup, multi-device sync and GrowBotiq Teams — require an account. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at info@growbotiq.com if you believe your account has been used without your permission.

You may delete your account and its associated cloud data from within the App at any time. See section 13.

5. Free Plan and Pro Subscription

5.1 What the Free Plan Includes

GrowBotiq Lab can be used at no cost, with the following limits:

We may change the composition of the free plan and of Pro over time, including these limits. Where a change materially reduces what a paying subscriber receives, it will not apply until the end of the subscription period you have already paid for.

5.2 Subscription Plans

GrowBotiq Pro is offered through the Apple App Store as:

• GrowBotiq Pro Monthly — auto-renewable subscription, billed monthly
• GrowBotiq Pro Annual — auto-renewable subscription, billed yearly, and may include an introductory free trial
• GrowBotiq Pro Lifetime — a one-time purchase, not a subscription, which does not renew and cannot be cancelled

Prices are shown in the App before purchase and vary by region. Prices may change; changes are handled in accordance with Apple's policies and, for existing subscribers, require the notice and consent that Apple mandates.

"Lifetime" means for as long as GrowBotiq Lab is offered and operated by us. It does not create an obligation to operate the App or any specific feature indefinitely. See section 14.

5.3 Billing and Renewal

5.4 Free Trials

Where a free trial is offered, eligibility is determined by Apple and is generally limited to one trial per Apple Account per subscription group. If you purchase a subscription during a trial, any unused portion of the trial is forfeited. To avoid being charged, cancel at least 24 hours before the trial ends.

5.5 Managing and Cancelling

You can review, change or cancel a subscription in the App, under More → Your plan → Change or cancel plan, which opens Apple's subscription management. You can also reach it at Settings → [your name] → Subscriptions → GrowBotiq Lab.

Cancellation takes effect at the end of the current billing period. You keep Pro until that date. Partial periods are not refunded.

5.6 Refunds

All purchases are processed by Apple. Refunds are requested from Apple and granted at Apple's discretion under Apple's policies; we cannot issue them. Where consumer law in your jurisdiction grants you a right of withdrawal or a statutory refund right, that right applies regardless of this section.

5.7 Promotional Access

We may grant Pro access without payment — to testers, partners, or through redeemable codes. Such access is a revocable licence, may be limited in time, and confers no refund or continuation right when it ends.

6. Permitted Use

You may use GrowBotiq Lab for your own cultivation, including cultivation carried out by a business you own or work for, in compliance with these Terms and applicable law. You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, its AI models or its detection algorithms, except to the extent this restriction is prohibited by applicable law
• Modify, adapt, translate, or create derivative works based on the App
• Redistribute, sublicense, lease, rent, lend, or resell the App or access to it
• Use the App, or its outputs, to provide a competing product or service
• Use the App for any unlawful purpose, or in a way that facilitates cultivation unlawful in your jurisdiction
• Interfere with, compromise or disrupt the App, our servers, or another user's account or data
• Circumvent, disable or interfere with plan limits, purchase verification or any security feature
• Remove, alter or obscure any proprietary notice in the App
• Use automated systems (bots, scrapers, emulators at scale) to access or interact with the App

7. Intellectual Property

All content, features and functionality of GrowBotiq Lab — including the AI models, algorithms, user interface, graphics, text, icons and software — are owned by GrowBotiq and protected by copyright, trademark and other intellectual property laws.

The GrowBotiq name, logo and related product names are trademarks of GrowBotiq. You may not use them without our prior written permission.

Subject to these Terms, we grant you a personal, non-transferable, non-exclusive, revocable licence to use the App on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.

8. Your Content

You retain all ownership of the photos, grow data, plant profiles, logs and other content you create in the App ("Your Content").

If you use cloud backup, sync, or GrowBotiq Teams, you grant us a limited, non-exclusive, worldwide licence to host, store, transmit, back up and — where you have shared it — deliver Your Content to the people you shared it with, solely to operate those features for you. This licence ends when you delete the content or your account, subject to the retention periods described in our Privacy Policy.

We do not use Your Content to train our models, and we do not sell it. How it is protected, who can access it, and for how long it is kept are described in the Privacy Policy.

9. GrowBotiq Teams

GrowBotiq Teams lets you share selected grow environments with other people in a company workspace.

• Sharing is opt-in and per environment. An environment you do not share is not visible to anyone else.
• When you share an environment, its plants, logs, analyses and photos become visible to the members of that company whose role and scope include it. They may be able to change or delete shared records depending on their role.
• The person who created the company workspace controls its membership and roles, and may remove members or delete the workspace.
• Content you shared may remain visible to other members, and in their local copies, after you stop sharing or leave a company. Stopping sharing removes the cloud copy from the workspace; it does not retrieve copies already on other members' devices.
• Your own original records always remain on your device, whatever happens to the shared copy.

If you share content belonging to, or describing, another person or business, you are responsible for having the right to share it.

10. Availability, Beta Features and Changes

We may add, change, suspend or remove features at any time. Some features may be released as previews or beta and may be incomplete, unstable, or withdrawn. GrowBotiq Teams is not generally available at the date of these Terms; where the App or our materials describe it, they describe an intended future feature and not a present commitment.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DETECTION RESULTS WILL BE ACCURATE, OR THAT DATA WILL NOT BE LOST.

Nothing in these Terms excludes or limits any warranty, guarantee or right that cannot be excluded or limited under the consumer law applicable to you.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GROWBOTIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, CROPS, YIELD, DATA, USE OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE APP EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) TWENTY CANADIAN DOLLARS (CAD 20).

Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the greatest extent permitted by law.

13. Termination and Account Deletion

You may stop using the App at any time. You can delete your account and its cloud data from inside the App, in the account section; deleting the app from your device alone does not delete an account you created.

We may suspend or terminate access where you materially breach these Terms, where required by law, or where continuing would expose us or other users to harm. Where practical and lawful we will give notice and, for a breach capable of remedy, an opportunity to remedy it.

On termination your right to use the App ends. Sections that by their nature survive — Intellectual Property, Your Content, Disclaimers, Limitation of Liability, Indemnification and Governing Law — continue to apply.

14. If We Discontinue the App

If we discontinue GrowBotiq Lab or a paid feature, we will give reasonable advance notice in the App or by email, keep export available during the notice period so you can take your data with you, and stop charging subscriptions. For a Lifetime purchase discontinued within twelve (12) months of purchase, we will offer a pro-rata refund or an equivalent alternative, at your choice, to the extent Apple's systems allow.

15. Indemnification

You agree to indemnify and hold harmless GrowBotiq and its affiliates, officers, directors, employees and agents from any claims, damages, losses, liabilities and reasonable legal fees arising out of your use of the App, your content, your violation of these Terms, or your violation of any law — except to the extent caused by our own breach or negligence.

16. Third-Party Services

The App relies on third-party services, including the Apple App Store for distribution and payments and Google Firebase for authentication, cloud storage, notifications and analytics. Those services are governed by their own terms and privacy policies. We are not responsible for their content, policies or practices. The services we use, and what they receive, are listed in our Privacy Policy.

17. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Disputes shall be resolved exclusively in the courts located in Toronto, Ontario, Canada.

If you are a consumer resident in the European Union, the United Kingdom or another jurisdiction whose law grants you the protection of your local mandatory consumer rules and the jurisdiction of your local courts, nothing in this section deprives you of those rights.

18. Apple-Specific Terms

The following additional terms apply because you obtained the App from the Apple App Store:

• These Terms are between you and GrowBotiq only, not Apple. GrowBotiq is solely responsible for the App and its content.
• Your use of the App must comply with the App Store Terms of Service.
• GrowBotiq, not Apple, is responsible for maintenance and support.
• If the App fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price, if any. Apple has no other warranty obligation regarding the App.
• GrowBotiq, not Apple, is responsible for claims relating to the App, including product liability, consumer protection and intellectual property infringement claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

19. Severability and Entire Agreement

If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remaining provisions continue in force.

These Terms, together with our Privacy Policy, are the entire agreement between you and GrowBotiq regarding the App, superseding prior agreements and communications on that subject.
